VeriRail TERMS OF SERVICE

1. AGREEMENT TO TERMS
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and MAN IT BUSINESS SOLUTIONS FZCO (trading as VeriRail), located in Dubai Silicon Oasis, United Arab Emirates (“Company,” “we,” “us,” or “our”), concerning your access to and use of the VeriRail platform and API services.
2. NATURE OF SERVICES (CRITICAL)
VeriRail is a middleware technology provider. We provide data routing, compliance screening, and API integration services.
WE ARE NOT A BANK. We do not originate loans, accept deposits, or maintain custody of client funds at any time. All financial settlement, custody, and regulated payment services are performed strictly by our authorized financial institution partners. By using VeriRail, you acknowledge that we are a technology layer, not a financial counterparty.
3. ACCEPTABLE USE & COMPLIANCE
You agree not to use the Site for any illicit purposes, including but not limited to money laundering, sanctions evasion, or financing of terrorism. VeriRail reserves the right to suspend access immediately if our automated risk engine ("The Shield") detects suspicious activity. You are responsible for maintaining your own regulatory licenses where applicable in your jurisdiction.
4. LIMITATION OF LIABILITY
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the site. Our liability is strictly limited to the amount paid by you to us during the six (6) months prior to any cause of action.
5. GOVERNING LAW
These Terms shall be governed by and defined following the laws of the United Arab Emirates. You irrevocably consent that the courts of Dubai shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
