1. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and MAN IT BUSINESS SOLUTIONS FZCO (trading as VeriRail), located in Dubai Silicon Oasis, United Arab Emirates (“Company,” “we,” “us,” or “our”), concerning your access to and use of the VeriRail website and Founder Advisory Seat services.

2. NATURE OF SERVICES (CRITICAL)

VeriRail is a trading name of MAN IT BUSINESS SOLUTIONS FZCO. VeriRail gives MSB and fintech founders an external operator-advisory seat through provider judgement — including preparation for bank, EMI, PSP and FX provider review, flow-of-funds and DDQ / RFI work, and serious provider calls. VeriRail is not a software vendor, template marketplace or guaranteed-approval service.

VeriRail is not a bank, payment service provider, EMI, MSB, custodian, law firm or regulated financial institution. VeriRail does not provide legal advice, act as your compliance officer, hold client funds or guarantee approvals, account opening or rail access. All financial services are provided by licensed third-party institutions and remain subject to provider due diligence, onboarding policies and regulatory requirements.

3. ACCEPTABLE USE & COMPLIANCE

You agree not to use the Site for any illicit purposes, including but not limited to money laundering, sanctions evasion, or financing of terrorism. VeriRail may suspend access if we reasonably believe the Site is being used in breach of these Terms or applicable law. You are responsible for maintaining your own regulatory licences where applicable in your jurisdiction.

4. LIMITATION OF LIABILITY

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the site. Our liability is strictly limited to the amount paid by you to us during the six (6) months prior to any cause of action.

5. GOVERNING LAW

These Terms shall be governed by and defined following the laws of the United Arab Emirates. You irrevocably consent that the courts of Dubai shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
